Notes from the Board

The Board of the Friends of The Frelinghuysen Arboretum has proposed two changes to the by-laws. These changes require approval of the membership and will be voted on at the New Year’s Party on January 10, 2010.

Change in term limits for officers

Article IV, Paragraph 4 presently reads:

All officers are to be elected by the membership at the annual meeting to be held in the spring of each year. They shall hold office for a period of two years and until their successors have been elected. Officers may succeed themselves in their respective offices for one term only with the exception of the Treasurer, who may be elected for an unlimited number of successive terms.

The proposed change is to the last sentence which now will read:

Officers may succeed themselves in their respective offices for one year with the exception of the Treasurer who may be elected for an unlimited number of successive terms.

Duties of First Vice President

Article VI, Paragraph 2 presently reads:

The First Vice-President shall preside at the meetings of the organization and perform the duties and exercise the powers of the President in the absence of the President, and shall have such other duties as from time to time shall be assigned to him by the membership, and will serve as Chairman of Special Events.

The proposed last clause, will now read,

“… and will serve as Program Chairman.”
